Colombo Office Rent: Deposit, Service Charge and Escalation Clauses

A Colombo office rent quote usually states one figure per square foot per month, and that figure is only part of what you pay. The full cost also includes a service charge, VAT and SSCL, a deposit that ties up cash, stamp duty, notarial and registration fees, and the cost of reinstating the space when you leave.

The negotiation is not mainly about shaving the headline rate. It is about making four things countable: what the service charge actually covers, the conditions under which the deposit comes back, the cap on escalation, and the standard the space must be returned in.

You probably already have a quotation in front of you. The number looks acceptable, but you cannot tell whether it includes air conditioning or taxes, and you do not know which items are open to discussion and which the landlord will simply not move on. Below we take it apart by where the money goes, what can be changed, and what happens if you get it wrong.

What is actually included in a Colombo office rent quote?

Start by fixing the basis. Colombo office buildings — especially Grade A commercial towers in Districts 1 to 3 — generally quote a tax-exclusive rate per square foot per month. Under the Central Bank of Sri Lanka's exchange control rules, domestic office leases are normally invoiced and settled in Sri Lankan rupees, with the exception of certain Board of Investment (BOI) approved projects. Check CBSL's latest requirements (CBSL).

A typical monthly bill and the one-off costs break down roughly like this:

Cost item How it is usually charged Nature Ask before signing
Base rent (net rent) LKR per sq ft per month, quoted tax-exclusive Negotiable Does it include parking and storage; how many rent-free fit-out days
Service charge / estate charge Charged separately per sq ft per month Negotiable, but limited room What services are covered; how after-hours air conditioning is billed; who pays the generator diesel surcharge; whether the service charge itself is adjusted annually
VAT and SSCL Levied by the landlord on the invoice Statutory, not negotiable Is the quote tax-inclusive or tax-exclusive; can your company claim input credit (ask your tax adviser)
Deposit / key money Cash, or a bank guarantee from a local commercial bank Negotiable Is the basis rent only or rent plus service charge; refund period; who must prove deductions; will a bank guarantee be accepted instead
Stamp duty One-off, assessed on total rent payable over the term Market practice puts it on the tenant Applicable rate; who files and pays; what records to keep
Notarisation and registration One-off Depends whether you carry it out Is notarisation and registration at the land registry required; who pays
Escalation clause Fixed percentage, or index-linked Negotiable Which year it starts; is there a cap; is it linked to CPI
Reinstatement / exit One-off Negotiable Must you return the space to bare shell or as-is; does the fit-out need approvals
Rent-free period Days or months Negotiable Does it run from handover or from signing

Look at the second-to-last row again. The clause most likely to bite you two years from now is reinstatement. Nobody reads it at signing. At exit, that is where the money is deducted.

Why does a per-square-foot quote end up costing far more?

Why does a per-square-foot quote end up costing far more?

What many people assume: the figure per square foot per month on the quotation is what they will pay each month.

What is actually the case: that is net rent, tax-exclusive. The monthly cost stacks at least three layers on top — a separately charged service charge per square foot (local market quotes commonly sit in the LKR 80–150 per sq ft per month range, which is a market convention, not an official standard, so always go by the specific quotation you receive); VAT and SSCL levied by the landlord on the invoice; and the cost of capital tied up in the deposit, stamp duty and notarial and registration fees, which are one-off but must be amortised into your budget.

What the misunderstanding costs you: a budget built on net rent typically understates the all-in monthly cost by more than 30%. When the budget tightens, office size, fit-out standard and the pace of your first hires all have to change — and those changes are usually hard to reverse.

Does the Rent Act protect a commercial lease, and is renewal guaranteed?

What many people assume: it is a lease, so the local Rent Act controls increases and they can renew when the term ends.

What is actually the case: the Rent Act of 1972 is mainly aimed at protecting residential tenants. Commercial premises built after 1 January 1980 are generally outside its rent control and statutory renewal protection, and space leased by foreign-invested companies usually falls outside that protection too. Your rights come from the contract, not from a legal default.

What the misunderstanding costs you: if the contract has no renewal option, no cap on increases and no notice period, you have nothing to argue from at the table. Waiting for the law to catch you is usually too late — local legislative debate on protection for occupiers is still shifting. Writing the clauses properly is far cheaper than disputing them later.

How many months of deposit, and what can the landlord deduct?

How many months of deposit, and what can the landlord deduct?

What many people assume: the deposit is a few months' rent and comes back as a matter of course when they move out.

What is actually the case: the deposit basis is usually rent plus service charge combined, with 3 to 6 months being common market practice. Some larger landlords will accept a bank guarantee issued by a local commercial bank in place of a full cash deposit. The refund window (30 to 60 days after handover inspection is a common negotiating position), who carries the burden of proving a deduction, and whether you hand back a bare shell or the space as-is all need to be spelled out in the contract. The conditions on which your bank will issue a guarantee, and the guaranteed amount, are matters to confirm with your own bank.

What the misunderstanding costs you: the more you invest in fit-out, the more the reinstatement clause is worth. A vague clause does not usually cost you part of the deposit — it costs you the whole thing, or months of chasing it.

Can the escalation clause be negotiated, and how long can you hold the rate?

What many people assume: the escalation percentage is an industry standard with no room to move.

What is actually the case: Sri Lanka has no single statutory escalation rate for commercial rent. It is purely a matter of contract negotiation. Common arrangements are a fixed percentage adjusted annually, or adjusted every two years. What you can push for: freeze the rate for the first one or two years, write the increase as a fixed percentage with a ceiling, and refuse an uncapped link to an inflation index. Landlords often point to the wider property market rising — CBSL's property analysis does show asking prices climbing (go by the latest release, see CBSL), but those are asking-price indices for residential, apartment and land segments, not a transaction rent index for office space, and they do not justify an escalation clause on their own.

What the misunderstanding costs you: on a three-year lease, the year-two and year-three increases determine your cash flow in the back half of the term. Without a ceiling, you have handed the other side the pricing power over your future rent.

Can the BOI park fee schedule be used as an office market benchmark?

No — these are two different things and should not be mixed.

The fee schedule published on the BOI website covers processing fees for park investment applications and project agreements, for example the investment application processing fee, the Section 17 project agreement processing fee and the supplementary agreement processing fee, with project extensions charged separately on a monthly basis. The website also states that VAT applies to all fees. Park land carries a separate reservation fee calculated as a percentage of the land premium, plus a lease for a fixed number of years. Those are park land and agreement terms, not the deposits, service charges and escalation clauses of a market-rate Colombo office tower. For specific amounts and conditions, go by BOI's latest published fee schedule (BOI).

Once you have a quote, how do you judge whether it is reasonable?

First convert the quote into an all-in monthly cost: net rent plus service charge plus VAT plus SSCL, multiplied by your area. Then list the one-off items separately — deposit, stamp duty, notarial and registration fees, fit-out. Once that is done, a quote that looked cheap often shows its true position.

Then look at the variable items. The service charge, after-hours air conditioning, the generator diesel surcharge, and anything in your budget that depends on foreign currency (when the rupee weakens, the rupee cost of a foreign-currency budget moves) — these determine whether your monthly bill jumps. Ask the landlord for a written all-in monthly cost schedule stating, line by line, whether each figure is tax-inclusive, what the charging base is and under what conditions it is adjusted. A verbal quote does not count.

As for whether the unit rate is expensive or cheap for the market, there is no public official office rent index to check. The workable route is to ask a local commercial property agency or valuation firm for recent comparable transactions — same district, same building grade, similar floor area — and to look at at least three data points before deciding.

FAQ

How many months of deposit is normal for a Colombo office?
Market practice is commonly 3 to 6 months of rent plus service charge combined, but this is not a statutory standard and is a matter of contract negotiation. Some larger landlords accept a bank guarantee issued by a local commercial bank instead of a full cash deposit; the conditions and the guaranteed amount are matters to confirm with your own bank. Whichever route you take, the refund period and the burden of proving deductions should be written into the contract.
What does the service charge cover, and is air conditioning included?
The service charge usually covers common area maintenance, security, common area standby generators and central air conditioning during working hours (a common basis is up to the end of the working day). After-hours air conditioning and the generator diesel surcharge are often charged separately, and the charging method must be written into the contract annex — otherwise your monthly bill will fluctuate in ways you cannot predict.
What taxes appear on a rent invoice?
Where the landlord is VAT-registered, standard VAT and SSCL are usually added to the invoice. Rates and scope follow the latest requirements published by the Inland Revenue Department ([IRD](https://www.ird.gov.lk/)). Whether your company can claim input credit depends on your own tax registration status and should be confirmed with your tax adviser.
Does a lease have to be notarised and registered?
Under local legal practice, a lease for more than one month is usually signed before a notary and two witnesses and registered at the land registry to have full effect against third parties. Whether to do this, who handles it and how costs are shared are points to confirm with your practising lawyer — do not start fitting out on the strength of a version signed only by the two parties.
